RESELLER USAGE for Book Cover Design Software Agreement

1. GRANT OF LICENSE

Licensor hereby grants Licensee a non-exclusive, non-transferable, non-sublicensable, and revocable license to:

  • Rebrand and resell the BookCoverly software as Licensee’s own product

  • Market and distribute the rebranded software

  • Retain 100% of all revenue generated from such sales

This license permits the sale of unlimited units and does not expire, provided all terms of this Agreement are met.

2. PRICING & SALES CONDITIONS

To protect the integrity of the BookCoverly brand and ensure fair market standards, Licensee agrees to the following minimum retail pricing structure:

  • The Personal Use License must not be sold for less than $97 USD

  • The Commercial Use License must not be sold for less than $197 USD

Promotions, bundles, and value-added offers are permitted, as long as the effective price per license does not fall below the required minimums.

3. INTELLECTUAL PROPERTY

All copyrights and intellectual property rights associated with the original BookCoverly software remain the exclusive property of the Licensor.

This Agreement provides licensing rights only. Licensee may not claim ownership of the original software or any underlying content or code.

4. TERMINATION

This license may be terminated immediately if:

  • Licensee violates any of the brand, pricing, or advertising conditions set forth in this Agreement

  • Licensee engages in deceptive, unethical, or misleading business practices in connection with the Product

5. DISCLAIMER & LIMITATION OF LIABILITY

The BookCoverly software is provided “as-is,” with no guarantees of income, sales performance, or fitness for a particular purpose. Licensor shall not be held liable for any claims, losses, or damages resulting from the use or resale of the Product by Licensee.

6. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Indiana, without regard to conflict of law principles.

7. ACCEPTANCE OF TERMS

By purchasing or activating the white label license, the Licensee confirms full understanding and acceptance of the terms outlined in this Agreement.
